TERMS OF USE

1. Agreement

Welcome to Halftime! Halftime Sports (UEN 53520400X) (“Halftime”, “us”, “we” or “our”) provides recreational sports leagues and related products, services, content and features (the “Services”) through our website (https://halftime-sports.com) (the “Site”) to you. 

By accessing or using the Site and our Services in any manner, you warrant that you have read and understood the Terms of Use and you accept and agree to be bound by the Terms of Use and any subsequent changes thereto. You agree that Halftime has the right to change or modify any terms in the Terms of Use at any time and in its sole and absolute discretion without prior notification. Such change or modification will be effective immediately upon publication on the Site. Your continued use of the Site and Services shall be deemed as your acceptance of such changes or modifications. If you do not agree to the Terms of Use or any subsequent change or modification, please cease the access and/or use of the Site and our Services immediately.

2. Halftime Account and Account Security

To access or use some of our Services, you are required to create an account with us (“Account”). You may only have one Account at any given time. You agree:-

  1. to maintain and update any information submitted by you to us and ensure that it is true, accurate and complete at all times;

  2. not to allow access or use of your Account by any other person except for yourself, and acknowledge and agree that you are solely responsible and liable for any activity conducted through your Account. Halftime is not liable for any activity conducted through your Account and for any losses and/or damages arising therefrom;

  3. to notify us immediately of any breach of security or unauthorised use of your Account. Halftime reserves the right to take any and all actions deemed necessary or reasonable in its sole and absolute discretion to maintain the security of our Services and your Account, including but not limited to terminating or modifying your Account.

3. Warranties and Representations

By using any of our Services which includes but is not limited to participating in any of Halftime’s leagues, you warrant and represent that:-

  1. you are fully aware of the risks inherent in participating in the relevant sporting activity and you undertake such activity voluntarily and at your own risk; and

  2. you are physically and medically able to participate in the relevant sporting activity. You have no physical or medical condition that will endanger your life or make your participation unsuitable or unsafe to yourself or to others.

4. Indemnity

You acknowledge and agree that your use of our Services including but not limited to participating in Halftime’s leagues is at your own risk. To the fullest extent permitted by law, you agree to not hold Halftime and/or our agents or representatives liable for any personal injury or death or for any loss of or damage to your property arising from your participation in our leagues.

You agree to release, indemnify, keep indemnified and defend Halftime and our affiliates, officers, directors, employees, agents and representatives from any and all liabilities, losses, damages, actions, claims, demands, costs (including legal costs on a full indemnity basis and experts’ and consultants’ fees), settlement sums and sums paid in satisfaction of a court, arbitral or expert award incurred, suffered or paid by Halftime arising out of the use of our Services or participation in any of Halftime’s leagues by you, your child/ward, employee, agent or representative.

5. Limitation of Liability

To the fullest extent permitted by law, you agree that Halftime and our affiliates, officers, directors, employees, agents and representatives will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, loss of profits, business interruption, reputational harm, or loss of data (even if foreseeable) arising out of or in any way connected with your use of, or inability to use, the Services or from software, content, information, materials or products included on or otherwise made available to you through the Services.

You agree that in the event that we incur any liability towards you, we will not be liable for any damages in excess of the amount paid for the specific item of content giving rise to the applicable claim for damages. Without limiting the foregoing, our maximum aggregate liability to you for losses or damages that you suffer in connection with our Services is limited to the amount paid to us in connection with the services in the twelve (12) months prior to the action giving rise to liability.

6. Your General Obligations

You agree to conduct yourself appropriately and in accordance with our Players’ Code of Conduct [insert hyperlink] when participating in our leagues. 

You acknowledge and agree that in the event that your conduct, as determined by us in our sole and absolute discretion, is (i) inappropriate or unsafe, (ii) in breach of the Terms of Use or (iii) in breach of the Payers’ Code of Conduct, we have the right to take any action we deem fit against you. This includes but is not limited to the removal of your participation from any game or league and/or the suspension or termination of your Account. You acknowledge and accept that our determination of your conduct is final and you shall not raise any dispute to the same. 

Fees

You acknowledge that Halftime charges fees for the Services and reserves the right to change our fees from time to time in our sole and absolute discretion.

Privacy

Intellectual Property

Termination

You may terminate your Account at any time by writing to us at [insert contact details].

You agree and accept that we have the right to suspend or terminate your Account at any time, in our sole and absolute discretion and without notice to you in any of the following events:-

  1. there is suspicion of or there has been inappropriate or unauthorised use of your Account or you have been involved in inappropriate or unauthorised use of another Account;

  2. there is suspicion of or you have breached any term or provision of the Terms of Use or the Players’ Code of Conduct;

  3. you have failed to pay any fees or other sums due to us for a period of more than fourteen (14) days from the date the fee or sum is owed to us.

Entire Agreement

The Terms of Use constitutes the entire agreement between you and us concerning the Services, and supersedes all prior terms, agreements, discussions, understandings, and writings regarding the Services.

Severability

If any provision, in whole or in part, of the Terms of Use is found by a court of competent jurisdiction to be invalid, unenforceable, void or unlawful, then that provision, in whole or in part, shall be deemed severable from the Terms of Use and shall not affect the validity and enforceability of any of the remaining provisions.

No Waiver

Our failure to enforce or exercise or our delay in enforcing or exercising any right or provision under the Terms of Use shall not constitute a waiver of such right or provision by us. No written waiver of any term or breach by us shall be deemed as a further or continuing waiver of such term/breach or any other term/breach.

No Assignment

You may not assign or transfer any of your rights or obligations under the Terms of Use without our prior written consent. We may assign in whole or in part any rights or obligations hereunder to any third party without your prior consent.

No Third Party Rights

No third party shall have any right under the Contracts (Rights of Third Parties) Act 2001 to enforce any term of the Terms of Use.

Governing Law

The Terms of Use shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or in connection with the Terms of Use shall be submitted to the exclusive jurisdiction of the courts of Singapore.
